Both parties reach the following cooperation agreements (hereinafter referred to as “the Contract”) as below through negotiation:

Article 1 Introduction

Since Trends has been established in 1998, Party B applies itself to the entire audiences of the magazines of TRENGMAG and fashion networks. It is the cooperative partner of sixteen magazines of TRENGSMAG and fashion networks and has now developed into high quality life category web portals that independently operated under Fashion group. At present, both parties reach the following agreements through negotiation:

Article 2 Contents

1.      Cooperative brand: Audemars Piguet

2.      Cooperative contents: Party B conducts online promotion services for Party A regarding Party A’s products, See the Schedule List in the attachment for details.

3.      Total contract price: Say Renminbi One Hundred and Thirty Thousand Only (in figure: RMB130,000) in accordance with the exchange rate of 1USD:6.7RMB, payable at sight in sum of Say USD Nineteen Thousand Four Hundred and Three Only.

4.      Contract period: from October 27^th 2010 to November 30^th 2010

5.      Terms of payment: Party A shall transmit the related amount to Party B’s designated account as below through cheque or bank transfer.

6.      Time of payment: Party B shall provide effective invoices to Party A within one week after completion of advertisement injecting. Party A shall pay Party B the advertisement fee in lump sum in the amount of Say Renminbi One Hundred and Thirty Thousand Only (RMB000000) in equivalence of Say USD Nineteen Thousand Four Hundred and Three Only (USD0003) within 1 month upon receipt of the above invoices.

7.      Party A shall promise such advertisement contents as documents and materials, etc provided by it do not have any right defects. Otherwise, it shall bear full liability for all party B’s losses thus incurred (the losses include but not limited to any third party’s lawsuit filed and compensation claimed against Party B)

8.      Both parties shall perform their respective obligations in accordance with the Contract; failing which, the default party shall bear liability for breach of contract to observant party and at the same time, pay 10% of the total contract price as penal sum.

9.      During the Contract period and after the Contract expires, both parties shall have the responsibility to keep confidential of the contract contents and the business secrets (including but not limited to technical, financial and business information, etc that do not publicized) of each other obtained during the period of performance of the Contract. Failing which, the default party shall assume the responsibility for economic losses thus incurred.

10.  Any dispute arising from performance of the Contract shall be settled through both parties’ friendly negotiation; failing which, the dispute shall be submitted to Beijing Arbitration Committee for arbitration according to its rules. The Arbitration Award shall be final and binding on both parties.

11.  The Contract is made in quadruplicate and becomes effective as of the day of being signed and stamped by the authorized representatives of both parties and expires till completion of advertisement publishing period under the Contract.
